IMPORTANT: PLEASE READ CAREFULLY. This End User License Agreement (the “Agreement” or “EULA”) is a legal agreement between you (either an individual or an entity, “You” or “Licensee”) and PureID Private Limited (“PureID”, “we” or “us”), governing the use of PureID software, associated materials, and support services (the “Software”).
By installing, accessing, or using the Software, or receiving services related to the Software, You accept and agree to be bound by the terms of this EULA and associated policies referenced herein. If You do not agree to this EULA, do not install, access, or use the Software or any related services.
1. LICENSE GRANT
1.1 Scope: PureID grants You a limited, non-transferable, non-sublicensable, revocable, and non-exclusive license to install and use the Software, in executable (object code) form, strictly for Your internal business operations and only in accordance with this Agreement and applicable Licensing Policy.
1.2 License Scope and Capacity: You may use the Software only up to the licensed capacity purchased or agreed upon. If You exceed this capacity, You may be required to purchase additional licenses. PureID is under no obligation to support unlicensed or over-usage.
1.3 Copies and Ownership: You may make reasonable backup or archival copies of the Software and Documentation. All copies remain PureID’s property and must retain copyright and other proprietary notices.
2. RESTRICTIONS ON USE
Unless otherwise authorized in writing by PureID, You may not:
- Reverse engineer, decompile, disassemble or attempt to derive source code from the Software;
- Modify, adapt, or create derivative works based on the Software;
- Resell, lease, rent, sublicense or otherwise distribute the Software to third parties;
- Use the Software to provide service bureau, managed services, or other services to third parties;
- Publish or disclose performance metrics or benchmark results, or
- Use the Software in violation of applicable laws, regulations, or data protection laws, including GDPR, CCPA/CPRA, or the Indian DPDP Act, 2023.
3. EVALUATION OR TRIAL LICENSES
Software provided for evaluation, beta or demo purposes (“Evaluation License”) is licensed temporarily and only for internal testing, and must not be used in production. Such Software is provided “as-is” without any warranties or support. You may not use it to process third-party or production data.
4. COMMUNITY AND FREE LICENSES
Community and Free License Software is provided as-is, without warranties, and must be used only by You for internal, non-commercial production workloads. Usage for third-party processing or commercial services is strictly prohibited. No support, warranties, or indemnification applies to these licenses.
5. SUPPORT AND MAINTENANCE
If support/maintenance is included in Your license, it starts from the date of order acceptance. You will receive updates, patches, and technical support as outlined in the PureID Support Policy. Access to updates is only valid during an active maintenance period.
6. DATA & TECHNICAL INFORMATION
6.1 Access to Customer Systems: PureID does not access Your systems, devices, or managed data. Any diagnostic logs or data are only collected if voluntarily shared by You.
6.2 Licensing and Usage Telemetry: Certain features require a secure cloud-based licensing mechanism which collects usage and activation data. This is essential for license enforcement and security and cannot be disabled.
7. DATA PRIVACY
7.1 Any Personal Data You share with PureID is handled per the applicable privacy laws and our Privacy Policy. This includes laws such as the GDPR, CCPA/CPRA, and India’s DPDP Act, 2023.
7.2 By using the Software, You agree to:
- Comply with all applicable data protection laws;
- Ensure appropriate security configurations for the environments where the Software is deployed;
- Obtain necessary consents if data shared with PureID contains personally identifiable information.
8. INTELLECTUAL PROPERTY
The Software is licensed, not sold. All rights, title, and interest, including intellectual property rights, in and to the Software and Documentation, remain exclusively with PureID. Feedback or suggestions you provide may be utilized by PureID without obligation or restriction.
9. OPEN SOURCE
Some versions of the Software may include third-party open-source software (“OSS”), provided under respective OSS licenses. OSS components are governed by their own licenses, and are provided “as-is,” without warranties.
10. AUDIT RIGHTS
PureID may perform an audit (with prior notice) to validate license compliance. You agree to reasonably cooperate and provide access to relevant records. Such audits will not unreasonably interfere with Your operations.
11. EXPORT CONTROL & SANCTIONS
You agree to comply with all applicable export control laws, embargo regulations, and sanctions (including those of the U.S., India, EU). You may not use, export or transfer the Software in violation of any export or trade restrictions.
12. INDEMNIFICATION
PureID will indemnify You against third-party claims alleging direct IP infringement from unmodified Software used within license terms. Indemnity does not apply to:
- Evaluation or Free Licenses;
- Unauthorized modifications or interpretations;
- Usage beyond license scope;
- Combinations with non-PureID products.
PureID may, at its discretion, modify the Software or procure alternative rights if an infringement claim arises. These remedies are Your sole remedies under this clause.
13. WARRANTIES & LIABILITY
13.1 Limited Warranty: PureID warrants that, for 90 days post-delivery, the Software will perform as described in its official documentation. If it fails materially and PureID cannot fix it, You may receive a refund of license fees paid.
13.2 Disclaimer: EXCEPT FOR SECTION 13.1, THE SOFTWARE AND SUPPORT ARE PROVIDED “AS IS.” NO WARRANTY, EXPRESS OR IMPLIED, IS GIVEN, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
13.3 Limitation of Liability: To the extent permitted by law:
- PureID’s total aggregate liability is limited to license fees You paid during the 12 months preceding the incident;
- PureID is not liable for indirect, incidental, consequential, punitive, or special damages (e.g., lost profits, data loss, business disruptions).
13.4 Time Limitation: Claims must be filed within 1 year from when a cause of action occurred.
14. TERM, TERMINATION & ASSIGNMENT
We reserve the right to terminate this license if You violate this Agreement or use the Software beyond the license scope. Upon termination, You must destroy all copies.
You may not assign this Agreement without prior written notice to and acceptance by PureID. PureID reserves the right to assign this Agreement at any time.
15. GOVERNING LAW & DISPUTE RESOLUTION
This Agreement is governed by:
- Indian law if You are located in India;
- State of California law (excluding conflict of law rules) if in the US;
- Applicable laws in your primary jurisdiction, for all other locations.
All disputes will be resolved via binding arbitration or courts reasonably located within the above jurisdictions, subject to applicable laws.
16. ENTIRE AGREEMENT & SEVERABILITY
This Agreement (including Licensing and Support Policies) constitutes the entire agreement. If any part is deemed unenforceable, the remaining provisions stay effective.
✔ By using the Software, You confirm that You have the authority to accept this Agreement on behalf of Yourself or Your entity, and agree to be bound by its terms.
